Special Meeting
April 26, 2007
BRISTOL, SS: To any Constable of the TOWN OF RAYNHAM:
GREETING:
In the name of the COMMONWEALTH OF MASSACHUSETTS, you are hereby directed to notify and warn the inhabitants and voters of that part of the TOWN OF RAYNHAM residing in the territory and included within the boundaries of the NORTH RAYNHAM WATER DISTRICT qualified to vote in elections to meet at Raynham Middle School Auditorium located at 420 Titicut Road, Raynham, Massachusetts on 26th of April two-thousand and seven at seven oclock P.M. for the following purpose to wit:

| ARTICLE 1 | To choose a Moderator to preside at said meeting.

| ARTICLE 2 | To see if the District will accept as a gift, purchase or take by eminent domain, certain parcels of land shown on a plan entitled Taking Plan of Land in Raynham Massachusetts prepared for North Raynham Water District scale 1= 60 dated January 22, 2007 by Hayward-Boynton & Williams Inc. Land Surveyors 60 Court Street Taunton, Ma. containing 130,339 square feet +/- or take any action relative thereto.

| ARTICLE 3 | To see if the District will vote to transfer from the System Development Fee, the sum of $239,000.00 to purchase or to take by eminent domain, certain parcels of land shown on a plan entitled Taking Plan of Land in Raynham Massachusetts Prepared for North Raynham Water District scale 1= 60 dated January 22, 2007 by Hayward-Boynton & Williams Inc. Land Surveyors 60 Court Street Taunton, Ma. containing 130,339 square feet +/- or take any action relative thereto.

| ARTICLE 4 | To see if the District will (a) vote to appropriate $3,800,000 to pay the costs of constructing a water filtration plant at 1 Arrow Head Lane; (b) to authorize the Treasurer with the approval of the Commissioners to borrow $3,800,000 and issue bonds or notes therefore under Section 8(4) of Chapter 44 of the General Laws or any other enabling authority and/or Chapter 29C of the General Laws; (c) to authorize the Treasurer with the approval of the Board of Water Commissioners to borrow all or a portion of such amount from the Massachusetts Water Pollution Abatement Trust established pursuant to Chapter 29C and in connection therewith to enter into a loan agreement and/or security agreement with the Trust and otherwise to contract with the Trust and the Department of Environmental Protection with respect to such loan and for any federal or state aid available for the project or for the financing thereof; and (c) to authorize the Board of Water Commissioners to enter into a project regulatory agreement with the Department of Environmental Protection, to expend all funds available for the project and to take any other action necessary to carry out the project.

| ARTICLE 5 | To see if the District will vote to transfer from the System Development Fund the sum of $ 325,000.00 for engineering cost associated with the costs of a water filtration plant at 1 Arrow Head Lane or take any action relative thereto.
HEREOF FAIL NOT, and make due return of this Warrant, with your doings thereon to the District Clerk at the time and place of meeting as aforesaid.

Pursuant to the within warrant, I have notified and warned the inhabitants of the Town of Raynham residing in the territory and included within the boundaries of the North Raynham Water District by posting up attested copies of the same at two or more public places (14) fourteen days before the date, thereof, as within directed.
